1. Introduction

Welcome to Business Coaching Programs in Turkey. These Terms of Service ("Terms") govern your access to and use of our coaching services, including our website, coaching sessions, workshops, and related content (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. Please read them carefully.

If you do not agree to these Terms, you must not access or use our Services. We may modify these Terms at any time, and such modifications shall be effective immediately upon posting on our website. Your continued use of our Services following any modification indicates your acceptance of the modified Terms.

2. Services Description

Our Services include executive coaching, leadership development programs, workshops, and related consulting services primarily delivered in Turkey. The specific details, duration, and pricing of each coaching program will be provided separately through program descriptions, proposals, or coaching agreements.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice or liability. We make no guarantees about the specific outcomes or results of our coaching programs, as results depend on many factors including client participation and implementation.

3. User Accounts and Registration

Some of our Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password that you use to access our Services and for any activities or actions under your password.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with any provision of these Terms or if activities occur on your account which, in our sole discretion, would or might cause damage to or impair our Services or infringe or violate any third party rights, or violate any applicable laws or regulations.

4. Payment Terms

Fees for our Services are specified in the applicable program descriptions or coaching agreements. Unless otherwise stated, all fees are quoted in Turkish Lira (TRY) or US Dollars (USD) and are exclusive of applicable taxes.

Payment is due according to the terms specified in your coaching agreement or invoice. We accept various payment methods which will be communicated to you during the registration process. You agree to provide current, complete, and accurate billing information.

If your payment is not received by the due date, we may suspend or terminate your access to our Services until payment is received. Fees paid for our Services are non-refundable except as expressly provided in these Terms or as required by applicable law.

5. Cancellation and Rescheduling Policy

For individual coaching sessions, cancellations or rescheduling requests must be made at least 48 hours in advance of the scheduled session time. Sessions cancelled or rescheduled with less than 48 hours' notice may be charged in full at our discretion.

For group programs or workshops, cancellation policies will be specified in the relevant program information or agreement. Generally, deposits or registration fees for group programs are non-refundable, and full program fees may be non-refundable after a specified date prior to program commencement.

We reserve the right to cancel or reschedule any session or program with reasonable notice. In such cases, we will work with you to reschedule or, if rescheduling is not possible, provide a refund for the affected session or program.

6. Intellectual Property Rights

All content, materials, and documentation provided as part of our Services, including but not limited to text, graphics, logos, images, audio, video, software, and coaching materials, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the materials provided as part of our Services solely for your personal, non-commercial use in connection with the coaching or program for which they were provided.

You may not copy, modify, distribute, sell, or lease any part of our materials or Services without our prior written consent. You also may not reverse engineer or attempt to extract the source code of our software, if applicable, unless laws prohibit these restrictions or you have our written permission.

7. Confidentiality

We respect the confidentiality of all information shared during coaching sessions. We will not disclose any confidential information shared during coaching sessions without your express permission, except as required by law or in the belief that such action is necessary to protect and defend our rights or property, or to act under exigent circumstances to protect the safety of our clients or the public.

You agree to maintain the confidentiality of any proprietary or confidential information shared by us or by other participants during group coaching sessions or workshops.

8. Limitations of Liability

To the maximum extent permitted by law, in no event shall we, our affiliates, directors, employees, or licensors be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use our Services.

Our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the Services during the term of your engagement with us.

We provide our Services on an "as is" and "as available" basis. We make no warranties or representations about the accuracy or completeness of our website's content or the content of any websites linked to our website and assume no liability for any errors, mistakes, or inaccuracies of content.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, and employees, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to our Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your actions caused damage to a third party.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any dispute arising under these Terms shall be resolved exclusively by the courts located in Istanbul, Turkey. You consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on our website or by sending you an email. What constitutes a significant change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using our Services.
